B2C Reseller Addendum
Company intends to provide Gift Cards for sale to consumers.
Certain Issuers require specific approval for Company’s participation in a Gift Card program, with such approval being granted or denied in Issuer’s sole discretion. eGifter will work with Company to develop user-experience decks and submit them to Issuers for approval as required, and use reasonable best efforts to attain the required approvals.
Use of any eGifter or Issuer brand names, logos or images by Company requires eGifter’s written approval to ensure compliance with eGifter and Issuer requirements. eGifter will assist with obtaining any applicable Issuer requirements and for communicating such requirements to Company. eGifter may request that certain terms and conditions are included on material specifically related to Gift Cards that are displayed by Company as required by a Gift Card Issuer, or otherwise. Gift Card Claim Links expire according to the Gift Card Terms unless otherwise agreed in writing a specific Statement of Work.
B2B Reseller Addendum
Except as expressly agreed to by eGifter in writing, Gift Cards may not be resold by Company directly to consumers or to any company with a use case that includes selling Gift Cards to consumers. You may only sell the Gift Cards to corporate buyers with incentive and rewards use cases. All your corporate buyers and their use cases are subject to approval by the Issuers. Based on volumes, we may ask for a formal use case description and deck for submission to a given Issuer for specific approval. eGifter will facilitate the approval process. Sales of gift cards to a B2B buyer that intends to resell them to other B2B buyers requires additional terms defined in the eGifter Channel Partner Agreement (CPA). The eGifter CPA will include, but not be limited to, a requirement that you contractually obligate said B2B buyer to an agreement that in all material respects contractually mirror the Terms of the eGifter Master Services Agreement (MSA), and specifically binds said buyer to the eGifter Gift Card Terms and these B2B Reseller Terms.
